Terms of Service

Effective Date: January 1, 2026

These Terms of Service ("Terms") apply to your use of minnesotaregisteredagent.co (the "Site") and the registered agent services ("Services") provided by Minnesota Registered Agent.co ("we," "us," or "our"). Using our Site or enrolling in Services constitutes agreement to these Terms.

1. Services We Provide

Minnesota Registered Agent.co delivers registered agent services for entities registered with the Minnesota Secretary of State, including:

• Maintaining a compliant Minnesota registered office address
• Accepting service of process and official documents during business hours
• Scanning documents and delivering them to you electronically
• Providing a secure online document portal
• Sending compliance reminders for Annual Renewal deadlines and other filing dates

2. Who May Use Our Services

You must be at least 18 years old and authorized to act on behalf of the business entity you are registering. You must provide truthful, accurate, and complete information during enrollment and keep it current.

3. Pricing and Service Term

Our registered agent service is priced at $99 per year. The term begins on your enrollment date and renews annually unless you cancel. We may change pricing with at least 30 days written notice before your next renewal date.

4. Payment

Payment is due at enrollment and upon each annual renewal. We accept credit cards and other payment methods shown at checkout. If renewal payment fails, we will notify you and may suspend Services after 15 days of non-payment.

5. Your Responsibilities

You agree to:

• Provide accurate information about your business entity
• Notify us of changes to your entity name, address, or contact details
• File required documents with the Minnesota Secretary of State (Annual Renewals, agent changes, amendments)
• Act on forwarded documents promptly — especially time-sensitive legal papers
• Use our Services only for lawful purposes

6. How We Handle Documents

We accept documents at your registered office address during normal business hours. Received documents are scanned and delivered electronically, typically the same business day. We do not interpret documents, provide legal opinions, or take action on your behalf regarding their contents. Physical copies are retained temporarily before secure destruction.

7. Not Legal or Tax Advice

Minnesota Registered Agent.co is not a law firm, CPA firm, or business formation service. Nothing in our Services constitutes legal, tax, or professional advice. For those needs, engage a licensed professional. Our role is strictly limited to registered agent functions.

8. Liability Limitations

To the maximum extent permitted by Minnesota law:

• Our aggregate liability for any claims related to the Services is capped at the fees you paid in the 12 months before the claim arose
• We are not liable for indirect, incidental, consequential, or punitive damages
• We are not liable for delays caused by postal systems, natural events, system failures, or other circumstances beyond our control
• We are not liable for outcomes resulting from your failure to act on documents we forwarded

9. Indemnification

You agree to indemnify and hold harmless Minnesota Registered Agent.co, its owners, employees, and agents from claims, losses, damages, or expenses (including reasonable attorney fees) arising from your use of Services, breach of these Terms, or your business activities.

10. Cancellation

Cancel anytime by emailing support@minnesotaregisteredagent.co. Cancellation takes effect at the end of your current annual term. No partial-year refunds are provided except at our discretion. You are responsible for appointing a new registered agent with the Secretary of State before or upon cancellation to maintain compliance.

11. Our Right to Terminate

We may terminate Services if you violate these Terms, use Services for unlawful purposes, or fail to pay fees after notice. We will provide reasonable notice and assist with transitioning your registered agent designation.

12. Governing Law and Venue

These Terms are governed by Minnesota law. Disputes shall be resolved in courts located in Hennepin County, Minnesota.

13. Amendments

We may update these Terms periodically. Changes are posted here with a revised effective date. Continued use after posting constitutes acceptance.

14. Severability

If any provision is found unenforceable, the remainder of these Terms stays in full effect.

15. Complete Agreement

These Terms and our Privacy Policy represent the entire agreement between you and Minnesota Registered Agent.co regarding the Services.
