The Form

Minnesota handles agent changes and registered office changes on one document: the Notice of Change of Registered Office/Registered Agent. It carries no form number. Two requirements are printed right on it. A majority of your governing body (members, managers, or the board) must approve the change before filing, per Minn. Stat. § 5.36, subd. 3. And the state blocks self-designation, instructing filers to leave their own company name off the agent line since "an entity may not act as its own agent."

  1. Line up the new agent. Individual agents must be Minnesota residents, 18 or older. Entity agents must be authorized to do business in the state. We qualify on every count.
  2. Pass the internal approval. Majority of members, managers, or directors, documented in your records.
  3. Fill in the notice. Entity name, new agent name, registered office street address. No PO boxes on their own.
  4. Submit and pay. $55 online or in person, $35 by mail for domestic entities. Foreign corporations pay $70 or $50 respectively.
  5. Check the public record. Once processed, service of process and state mail route to the new agent.

Worth Knowing: the "NONE" Option

Minnesota lets a domestic LLC operate with no registered agent listed at all. Write "NONE," maintain a Minnesota street-address registered office, and the filing is valid. Foreign entities cannot do this; a Minnesota agent is mandatory for them.
