Two exceptions exist. An LLP renewal runs $135 by mail or $155 online. A foreign for-profit corporation pays $115 by mail or $135 online. Everyone else in good standing files free.
How to File
- Open the Secretary of State's business search and locate your entity, or download the combined renewal form for paper filing.
- Verify what is on record. The renewal itself can update your principal executive office address and chief manager details, nothing more.
- Submit. Online filings process immediately. Mail and in-person filings take about 4 to 7 business days.
Note the limits: a name change, registered agent change, or registered office change cannot ride along on the renewal. Each requires a separate amendment filing, $35 by mail or $55 online and in person.
Late Filing Means Dissolution, Not a Late Fee
There is no late-penalty dollar amount because Minnesota skips straight to the endgame. Under Minn. Stat. § 322C.0705, an LLC that has not filed by December 31 is statutorily dissolved, no further notice required.
Reinstatement is retroactive if your name remains available: file the current year's renewal plus the reinstatement fee. The state's current renewal form (Rev. 7/1/2025) puts that at $65 by mail or $85 for expedited in-person and online submission. Compare either figure against the $0 it takes to file on time.
